1. Legal Entity & Acceptance of Terms

  • This website, PrimiraLuxury.com, is owned and operated by : Ocean Star Company
  • Throughout these Terms & Conditions, the terms “we”, “us”, “our”, and “Primira Luxury” refer to Ocean Star Company.
  • The terms “you”, “your”, “customer”, or “user” refer to any individual or entity accessing this website or purchasing from us.
  • By accessing this website or placing an order, you agree to be bound by these Terms & Conditions.

2. Governing Law & Jurisdiction

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • All disputes arising out of or relating to the use of this website or purchase of products shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India.

3. Online Store Terms

By using this website, you represent that:

  • You are at least the age of majority in your jurisdiction
  • You will not use our products for unlawful purposes
  • You will not violate any applicable laws

You must not transmit malware, viruses, or destructive code through this website.

A breach of these Terms may result in immediate termination of services.

4. Made-to-Order Nature of Products

  • All jewelry sold by Primira Luxury is produced on a made-to-order basis, unless explicitly stated otherwise.
  • Estimated Dispatch Timeline:
    15–35 business days
  • “Business days” exclude weekends and public holidays in India.
  • This timeframe includes manufacturing, finishing, quality inspection, and internal verification.

4.1 Third-Party Certification

  • If a customer requests independent third-party certification (including IGI or SGL), additional laboratory processing time may apply.
  • Certification timelines typically range between 3–10 business days depending on the respective laboratory.
  • Certification bodies operate independently. Their timelines are beyond the direct control of Primira Luxury.
  • Delays attributable to third-party laboratories shall not constitute grounds for cancellation or refund once production has commenced.

4.2 Certified Loose Diamonds (Inventory)

  • Certified loose diamonds that are already in inventory are dispatched within 48 hours of order confirmation, subject to payment verification.

4.3 Maximum Production Window

  • In rare circumstances involving sourcing complexity, regulatory procedures, or laboratory coordination, the total production and dispatch window may extend up to a maximum of 45 business days.
  • Orders completed within this maximum window shall not be considered delayed.

5. Custom Orders

  • Custom orders include:
    – Made-to-order jewelry based on confirmed specifications
    – Custom-sourced or custom-cut loose diamonds
    – Certification-specific requests
  • The customer acknowledges that diamond manufacturing and sourcing involve natural and technical variables.
  • Interim grading expectations, sourcing availability, or estimated timelines are not guaranteed.
  • Only the final certified diamond that meets confirmed specifications shall be considered the completed product.
  • Once a custom order has commenced production or sourcing, it becomes non-cancellable and non-refundable, except where required by applicable law.
  • If a completed custom order meets all confirmed specifications and the customer becomes unresponsive or refuses delivery without valid legal grounds, Primira Luxury reserves the right to proceed with insured dispatch to the last confirmed delivery address.
  • Such dispatch shall not be considered unauthorized or forced fulfillment.

6. Product Representation & Accuracy

  • We strive to display product images, descriptions, and specifications as accurately as possible.
  • However:
    – Minor variations may occur due to handcrafted processes
    – Screen displays may affect color representation
    – Stone characteristics may vary within grading tolerances
  • We do not guarantee that your device display will perfectly reflect product color or appearance.

7. Pricing & Availability

  • Prices are subject to change without prior notice.
  • We reserve the right to:
    – Modify or discontinue products
    – Limit quantities
    – Restrict sales by geography – Cancel orders if pricing errors occur
  • In the event of a pricing error, we reserve the right to cancel or refuse any order placed at the incorrect price.

8. Advance Payment & Balance Payment Structure

  • All orders require a minimum advance payment of 10% of the total order value to confirm production.
  • An order shall not be considered confirmed until the advance payment has been successfully received and verified.

8.1 Administrative Charges

  • A portion equivalent to approximately 3–4% of the total order value constitutes non-refundable administrative, payment gateway, and order processing charges.
  • This portion shall be retained in all cases, including cancellations.

8.2 Refundable Portion of Advance

The remaining portion of the advance may be refundable only if:

  • Cancellation is requested within 48 hours of order placement, AND
  • Production, sourcing, customization, or certification coordination has not commenced.

Once production has commenced, the full advance amount becomes non-refundable.

8.3 Balance Payment

  • Upon completion of production, Primira Luxury shall provide product photographs and/or videos for final confirmation.
  • The remaining balance (approximately 90% of the total order value) must be paid within 5 calendar days of such notification.
  • Dispatch shall occur only after full payment is received.

8.4 Non-Payment of Balance

If the remaining balance is not paid within 5 calendar days:

  • The order shall be placed on hold.
  • The advance payment shall be retained in full.
  • Production costs already incurred shall not be refundable.
  • Dispatch timelines shall pause until payment is completed.

Primira Luxury reserves the right to determine appropriate resolution for prolonged non-payment.

8.5 Currency Fluctuation (International Orders)

  • For international transactions, final payable balance may be subject to adjustment based on currency exchange rate fluctuations between order confirmation and balance payment date.
  • Confirmed product pricing in base currency shall remain honored.

9. Shipping & Delivery

  • Shipping and delivery are governed by our separate Shipping & Delivery Policy.
  • Risk of loss passes to the customer upon confirmed delivery to the shipping address provided.
  • International customers are responsible for customs duties, VAT, and local taxes.

10. Returns & Buyback

  • Returns and buyback terms are governed by our separate Return, Refund & Buyback Policy.
  • Products must meet eligibility criteria as defined in that policy.

11. Third-Party Links

Our website may contain links to third-party websites.

We are not responsible for:

• Content
• Accuracy
• Policies
• Transactions conducted on third-party websites

12. User Submissions

If you submit comments, feedback, ideas, or materials:

  • You grant us the right to use them without restriction
  • We are not obligated to compensate or respond

You agree that your submissions will not violate third-party rights or applicable laws.

13. Prohibited Uses

To the maximum extent permitted by law, Ocean Star Company shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Lost profits
  • Loss of data

Total liability shall not exceed the purchase value of the product in question.

  • Where local law restricts limitation of liability, liability shall be limited to the maximum extent permitted.

16. Indemnification

You agree to indemnify and hold harmless Ocean Star Company and its affiliates from any claims, losses, damages, or expenses arising from:

• Violation of these Terms
• Violation of applicable laws
• Infringement of third-party rights

17. Force Majeure

We shall not be liable for delays or failure to perform due to events beyond reasonable control, including:

• Natural disasters
• Government actions
• Customs delays
• Carrier disruptions
• Regulatory restrictions

18. Severability

  • If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.

19. Entire Agreement

  • These Terms, together with our Shipping Policy, Return Policy, and Privacy Policy, constitute the entire agreement between you and Ocean Star Company.

20. Changes To Terms

  • We reserve the right to modify these Terms at any time.
  • Changes become effective upon posting to the website.
  • Continued use of the website constitutes acceptance of updated Terms.
